1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Down Home Ventures, LLC, doing business as BriskTool ("BriskTool," "we," "us," or "our"), a Tennessee limited liability company. By accessing or using BriskTool at brisktool.com (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
BriskTool provides free and paid online utility tools including calculators, file converters, developer tools, image processors, audio editors, and more. Most tools process data entirely in your browser using client-side technology — your files are not uploaded to our servers unless explicitly stated for a specific tool. Pro and Business tiers offer additional features including unlimited usage, HD output, batch processing, API access, and priority support.
3. Acceptable Use
You may use BriskTool for any lawful purpose. You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose
- Attempt to interfere with, disrupt, or compromise the Service's infrastructure
- Use automated systems, bots, or scrapers to access the Service beyond reasonable use
- Upload files containing malware, viruses, or malicious code
- Reverse-engineer, decompile, or attempt to extract the Service's source code
- Circumvent usage limits, paywalls, or access controls
- Resell, sublicense, or redistribute the Service without written authorization
- Impersonate any person or entity, or misrepresent your affiliation
We reserve the right to suspend or terminate access for violations of these terms at our sole discretion.
4. Privacy & Data Processing
BriskTool is designed with privacy as a core principle. Most tools run entirely in your browser using client-side processing. We do not upload, store, or access your files. Our data practices are detailed in our Privacy Policy, which is incorporated by reference into these Terms.
5. Intellectual Property
The Service, including its design, source code, algorithms, branding, and content, is owned by Down Home Ventures, LLC and protected by copyright, trademark, and other intellectual property laws. You retain all rights to files and content you process using our tools. We claim no ownership of your content and do not use it for training, analysis, or any purpose other than providing the requested tool functionality.
6. Paid Services & Billing
Subscriptions. Pro and Business plans are billed monthly or annually. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time from your account page or via the Stripe customer portal.
One-Time Purchases. Certain tools (e.g., Passport Photo, Premium Pack) are available as one-time purchases. These do not auto-renew.
Refunds. We offer a 14-day money-back guarantee on all paid plans and purchases. To request a refund, email [email protected] within 14 days of purchase.
Price Changes. We may change pricing with 30 days' notice. Existing subscribers will not be affected until their next renewal period.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that results will be accurate. Tool outputs (calculations, conversions, file processing) are provided for informational purposes and should be independently verified for critical applications.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BRISKTOOL, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
9. Indemnification
You agree to indemnify, defend, and hold harmless BriskTool and its officers, directors, members, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you process through the Service.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. If you have an active paid subscription, we will refund any prepaid amounts for the unused portion of your billing period. You may terminate your account at any time by cancelling your subscription and ceasing use of the Service. Sections 5, 7, 8, 9, 11, 12, and 13 survive termination.
11. Dispute Resolution & Arbitration
Informal Resolution. Before filing any formal proceeding, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration. Any dispute arising from these Terms that cannot be resolved informally shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in Nashville, Tennessee, by a single arbitrator. The arbitrator's award shall be final and binding.
Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Exceptions. Either party may seek injunctive or equitable relief in any court of competent jurisdiction for claims related to intellectual property infringement.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought in the state or federal courts located in Davidson County, Tennessee.
13. General Provisions
Modifications. We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by posting the updated Terms on this page with a new "Last updated" date. Continued use of the Service after the notice period constitutes acceptance.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and BriskTool regarding the Service.
Assignment. You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Force Majeure. BriskTool shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or infrastructure failures.
Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
